Kalo Gold Announces Upsizing of Private Placement

VANCOUVER, BRITISH COLUMBIA, CANADA: 26 August 2022, KALO GOLD CORP. (“Kalo”, “Kalo Gold” or the “Company”) is pleased to announce that, due to significant market demand, the Company has increased the size of its previously announced non-brokered private placement from $150,000 to $162,300. The upsized offering will consist of up to 2,040,000 common shares to be issued on a flow-through basis for purposes of the Income Tax Act (Canada) (the “FT Shares”) at a price of $0.08 per FT Share for gross proceeds of approximately $162,300 (the “Offering”).

The gross proceeds from the Offering will be used by Kalo to fund exploration programs that qualify as “Canadian Exploration Expenses” and “flow-through mining expenditures”, as those terms are defined in the Income Tax Act (Canada).

The closing of the Offering is expected to occur on or before August 31, 2022 and is subject to the completion of formal documentation and receipt of all applicable regulatory approvals, including the approval of the TSX Venture Exchange. The FT Shares to be issued under the Offering will be subject to a statutory hold period of four months and one day from the issue date.
